  • A label owner or production company owner should know the valuation of his/her company. What is its value and net worth..etc
  • Every album release should have a Marketing strategy, Promotion implementation, Breakeven Analysis, ROI Assessment, weekly & monthly sales projections. Keep accurate book keeping and make sure you pay the taxes on earnings generated from your music endeavors.

Whether you’re releasing a single album or starting an actual music related business, more than likely you will find yourself looking for funding or capital to get your business venture started.

The obvious need is for recording and production costs, but as we just discussed, there is also a large cost for marketing and promotion which includes radio promotion, website development and maintenance, publicity, advertising, legal, small staff, promotional events, videos, shipping and the list goes on and on.

Some of the traditional means used to finance an endeavor have ranged from using personal credit cards to securing a bank loan to borrowing money from relatives.

Fund Your Music Project Using KickStarter.com

Kickstarter targets those desiring to fund a creative project. Instead of investments or lending, the funding opportunity is donations based. This allows for 100% ownership and complete control over the projects by the creators. In return for their donations, donors receive perks or rewards such as products and experiences.

Kickstarter is rather open as to requirements and qualifications for obtaining financing. Funds can only be raised for creative projects and creators should offer rewards to their donors. The application process consists of a few quick questions. Kickstarter screens the applicants to make sure there are no violations of their guidelines (creative projects only and no financial incentives).

Kickstarter operates on an all or nothing funding model. This means that if the target funding amount is not met in a specific amount of time, Kickstarter cancels the funding campaign and no money changes hands. This protects the creators and the donors. Creators are not expected to complete a project with insufficient funds and donations are not given to projects that creators can’t complete.

The Kickstarter website provides a platform that allows potential donors to discover projects in need of funds. They also maintain a blog with information to assist creators and their projects.

Fund Your Music Project Using Profoundercom

ProFounder targets those who are business owners. The financing opportunity is an investment model based on raising money for the business from those in the community. This is not a loan from investors, and business owners transfer no equity (ownership) to the investors. They employ a revenue sharing model where a percentage of revenues are paid to the investors.

Requirements and qualifications to obtain financing include filling out an online application and paying a $100 fee once ready to start raising funds. Business owners can only contact and present the investment opportunity to those people with whom they already have substantial pre-existing relationship with. As with Kickstarter, if the funding target is not met, ProFouner does not transfer the funds for use.

The ProFounder website includes resources to help with preparing for an investment, creating a pitch, and creating the offer terms. A support forum and blog are both available to offer assistance.

Advantages and Disadvantages

The advantage to using the two before mentioned alternative financing services, known as crowdfunding, is that they allow a music creator or business owner to raise needed funds while remaining in control and keeping ownership of their project or business. The disadvantage to using those services is that if the person seeking funds does not have enough connections or is not able to connect with enough potential donors, funding is not possible.

Why You REALLY Need a Business Plan These Days

As the name implies, a business plan is a plan for your business. If your business idea is one that requires some capital (money) to launch or grow, then any investor or bank will request to see your business plan. The purpose of any good business plan, therefore, is to communicate the capabilities and talents of the principals (that’s you and other owner/partners).

However, there’s a more important reason for you to write a business plan. Dropbox – Store Files on the Cloud!

I use Dropbox daily as a tool to manage and share files from multiple locations and coordinate them. Every computer I have has Dropbox installed so I can save a document from any computer and access it from any computer as well. When paired with the iPhone app or Blackberry application the tool becomes infinitely more effective.  I can send a document anytime from my iPhone with just basic cell service through standard email. The app automatically makes a link that is viewable by the recepient but the file stays on your cloud.  Also, for artists working on beats or songs, they can use the phone to play the song over the internet easily and go through a whole catalog, or transfer a catalog to a studio, etc.

Overall Dropbox is a very effective tool for many uses, we even use it to automate our radio station shows, where our DJs can just upload the most recent show to the shared Dropbox folder and it is uploaded into the automation system.

So You Got Your Major Feature…Now What?

In Urban music most new artists want that “Hot” feature on their record.  That is all well and fine, but let’s start with the basics of getting the single ready for the feature.  If you have taken the time to produce and write a hit song on your own, then a feature should only add to the single and not make the single.  Have you taken the time to edit and mix the record to the best of your abilities?  Do you have the pro-tool files of the session or track? (did you 2 track the song and think you can just do it that way?…that’s another column) If you do, then you have the right foundation and building blocks to create a great song with a great feature.  Always record with a tracked out beat verses an audio file. Trust me you will save time and headaches later.

I know that Lil Wayne, Gucci and OJ have done so many features and mixtape features that there was and is an anticipation of their records…not the indie artist, nor yours.  So think about that when you choose a feature. Yes you want someone who it hot, but you really want someone who will compliment your style, swag and song.  Remember they are already stars, you are the one that must stand out.  Make sure you shine positive and not negative.  But, if you are determined to have a feature, you need to protect yourself, money and future career.

Example:

So artist XYZ has laid his/her hot verse on your single.  You paid the money and they are on their way out of town. You think you are good because you have the session files and a phone number.  Hmmm … not at all.  What you have is noise recorded in a studio until you have the rights to put the song out.  Just because you paid for the verse does not mean you have the rights to it.  Most major artists have granted rights to all master recordings of them to whatever label holds the contract on them.  If you did not get paperwork in order prior to this then you have to get it taken care of before you can launch the single or album with artist XYZ on it.

What you will need:

To start with you will need a side artist agreement.  This is an agreement between you ( artist or company) and the featuring artist.  In this agreement you need to state what you expect from the artist regarding the song, rights, money, splits, marketing and promotion rights, and label clearances.  If you plan on shooting a video and want the artist in the video, you need to state that as well.

Next you want to make sure you do a song split sheet.  This should be stated in the agreement with the artists regarding how much of the publishing/ownership of the song they will want.  You will need this so that when you register the song from copyright purpose as well as with your PRO (Performance Rights Organization) you can have people paid properly.

Finally you will need a Record Company Wavier of Liability.  This is a document that the label will sign that gives you the final rights based on the agreement that the artist agreed to in the Side artist agreement.  This is a document even more important than the Side Artist.  This allows you to market, promote and earn revenues on the song you spent so much on.  If this document is not in place, you run the risk of the label sending you a Cease and Desist on your record.  That could mean all the money and work you put into the song would be down the drain.  Protect your assets.  Get your administration in order.

The person you should be focused on is the manager or the artist.  They are paid money from the artist to make sure all business is taken care of.  Enjoy your time with the artist, but make a good connection with the manager or assistant that is at the session with the artist. They are who you will be dealing with to finalize your paperwork and help get the label to finish what needs to be done.

Warner Bros. Records Sends Copyright Infringement Claims to Top Urban Websites/Blogs on Behalf of Gucci Mane

Warner Bros. Records Threatens Copyright Infringement Claims Against Top Urban Websites/Blogs Including Coast 2 Coast Mixtapes on Behalf of Gucci Mane

Warner Bros. Records makes yet another mistake in the unstable music industry by sending numerous copyright infringement claims to top websites and blogs including Coast 2 Coast Mixtapes, ordering them to remove any Gucci Mane content. The falter will more than likely hinder the incarcerated rapper’s return to the music scene as his career has been built upon mixtapes, djs, blogs and the underground culture.

(NewIndustryTips.com) April 8, 2010 — Warner Bros. Records has sent numerous copyright infringement claims against many of the top website and blogs in the urban music industry including Coast 2 Coast Mixtapes. The claims, sent by a 3rd party “GrayZone, Inc.” based in New York, states that the websites have infringed on the copyrighted property of Warner Bros. Records, Inc and requested removal of all mentions of Gucci Mane on the sites in question, barring legal action.

One website affected by the actions is http://www.Coast2CoastMixtapes.com, a promotional website that features mixtapes from many of the biggest artist in the urban music industry. Coast 2 Coast Mixtapes works with every major artist in the industry to release promotional material on a regular basis for promotional use. Previous hosts have included many top artists and DJs such as Snoop Dogg, DJ Khaled, DJ Drama, Keri Hilson, Ciara, Nas, LL Cool J and many more.

The website http://www.Coast2CoastMixtapes.com was asked to remove all Gucci Mane earlier this month even though they host no files on the actual website, causing them to question the grounds of the sweeping claims. On April, 8th, the website hosting company for http://www.coast2coastmixtapes.com, GoDaddy.com, was sent a Cease and Desist letter as well and shut the website down for a matter of hours. The site was immediately reinstated as no copyright laws had been violated, leaving website owners to questions the validity of the claims.

“The funny thing is we don’t host any files on our site,” explains Coast 2 Coast Mixtapes CEO Kyle “Lil Fats” Hiersche, “We help promote music to the fans and use other parties to help our efforts, meaning we don’t host any files but use providers like Datpiff.com to stream music. When we were asked to remove all files we questioned the basis of the claims, stating that we in fact don’t host any music on the website. We like to promote music of all kinds but if Warner Bros. Records doesn’t want to be included then we will gladly stop promoting all their artists.”

These claims seem to come at a pivotal time in the rapper’s career, as his buzz is growing bigger than ever it seems the label is determined to undermine any traction they have gained. Gucci Mane’s whole career had been built upon a heavy mixtape presence that had catapulted him to the top of most urban blogs and websites. The blackballing of websites by the artist is sure to incite a flurry of backlashes at the artist’s career, at a time when he cannot even defend the actions of his label while incarcerated.

Legal Digital Signatures for Businesses

There has been a recent influx of businesses that are using online services to create legally binding agreements with clients. Not only is this easier and simpler for me, it is much easier on the company to both get the contract out as well as signed by both parties.  I have used two of these services but definitly prefer the EchoSign solution as a cleaner and simpler way to do business. However, the DocuSign service was used by a much bigger company so I feel they may have a “more” legal version of the online signature system. Either way, in most of our lines of work this agreement will suffice.

Some examples of when and how to use this service would be for sales, independent contractors, licensing, publishing, record deals, along with any proposals that should have a binding agreement.  For those that use contracts regularly the sites estimate up to 90% reduction in operating costs, etc. so it should be a no brainer for just about anyone. You can even embed frequently used documents on your site for clients to sign without you even emailing them!

ASK AN EXPERT – Publishing 101 Part 4 Publishing Split Sheets

ContractsSo after this four part series about publishing, I figured that maybe I needed to actually to back track with all the technical stuff and go back to basics and look at filling out a basic publishing split sheet.  I can not explain the importance of filling out publishing split sheets.  I am going to break this down to the most basics levels so please forgive me if you feel like I am treating you like idiots, but again I can not express how important this actually is in making money in the publishing business.

What happens is that everyone gets in a studio and creates a hit record and it is not released for several months after it was recorded.  The label will not start sending publishing statements for an estimated 9months after the commercial release of the song so it could be as many as 18 months since the songs was recorded.   At this point everyone involved will not really remember who did what that night in the studio cause everybody was throwing out ideas and maybe even drinking or smoking.  So it is hard to go back and complete songs sheets, hence the reason I say complete them during the recording session so everyone agrees.

A song is broken down into a 100%.  This one hundred percent represents the percentage that is going to be split between all writers of lyrics and often melodies and a composer/producer or group of composers who created the music whether it is original or sampled.

Then the publishers share is also equal to 100% which is broken down between all the writers and composer/producers publishing companies.

So let’s look at the first basic split of 200% which would be one writer and one composer with no samples. You would divide the song evenly down the middle 50/50 %.   Now the percentage would be further broken down between writers and publishers but still equaling 100% for the writers and composers/producers and 100% for the publishers.  Lets assume in this case that neither writers (lyrics and music) have a publishing deal and have created there own publishing company.

Example#1:

Tom Williams wrote the lyrics and has his own publishing company (Williams Publishing Group)

Steve Jones wrote the music and has his own publishing company (Jones Music Group)

This is what the splits would look like:

Song Title: TBD

Writers:

Tom Williams  -50%

Steve Jones -50%

Publishers:

Williams Publishing Group -50%

Jones Music Group -50%

Total of 200%

Example #2

Tom Williams wrote the lyrics and has his own publishing company (Williams Publishing Group)

Steve Jones wrote the music with his partner Mike Jones, but they have joint ownership in the publishing company (Jones Music Group) This is what the splits would look like:

Writers:

Tom Williams  – 50%

Steve Jones – 25%

Mike Jones – 25%

Publishers:

Williams Publishing Group – 50%

Jones Music Group – 50%

Example #3

Tom Williams wrote the lyrics for the verses of the song and has his own publishing company (Williams Publishing Group) but the hook was written by David Frost who has his own publishing company (Frost Bite Music)

Steve Jones wrote the music with his partner Mike Jones, but they have joint ownership in the publishing company (Jones Music Group) This is what the splits would look like:

Song Title: TBD

Writers:

Tom Williams  – 37.5%

David Frost – 12.5%

Steve Jones – 25%

Mike Jones –  25%

Publishers:

Williams Publishing Group – 37.5%

Frost Bite Music – 12.5%

Jones Music Group – 50%

Total of 200%

Now this scenario could always have minor changes because Tom Williams and David Frost need to agree on the percentages that they both feel represented there equal share of what the other person wrote on the song.  Some people break the songs percentage down by how many bars you wrote; others split percentages equally no matter what.  Some writers feel that he hook is the main part of the song and want a larger percentage.  This can also be true with the composer/producers because depending on who did what instrumentation on the song.  Maybe one of the composers only did a horn section and would mean a lesser percent if any at all cause they could be a work for hire.  So again this is something that needs to be determined while everyone involved in the song creation is present cause as I mentioned above it gets really difficult to remember 18 months later.

EXAMPLE #4

Rap group New Age Mafia writes a song there are three rappers (Harry Allen, Marcus Little & Paul Davis), in the group and all write there own verse and the composer/producer (Mike Jones) does the hook. The members of New Age Mafia all have publishing deals with different major publishers (Harry Allen – Universal Music Publishing, Marcus Little – Sony/ATV & Paul Davis – Bug Music).  The composer/producer doesn’t use a sample and owns his owns publishing Jones Music Group. This is generally what the splits should look like.

Song Title: TBD

Writers:

Harry Allen – 12.5%

Marcus Little – 12.5%

Paul Davis – 12.5%

Mike Jones – 62.5 %

Publisher:

Universal Music Publishing – 12.5%

Sony/ATV Publishing – 12.5%

Bug Music – 12.5%

Jones Music Group – 62.5%

Total of 200%

EXAMPLE #5

Rapper Large Joe (Joe Johnson & Cartagena Music Publishing/Jellys Jam LLC) writes a record that was composed/produced by Andy Hendrick (Hendricks Music Publishing) and the song use’s a Luther Vandross sample and Mr Vandross and his publishing company (EMI April Music/Uncle Ronnie’s Music) charges 85% of the writers and publishers share of the publishing.  So generally the songwriter and composer of the new song will split the percentage left over that was not taken by the original writer and publisher..  Also Joe Johnson and Luther Vandross both have major publishing deals.  So the following is a break down of the publishing splits.

Writers:

Luther Vandross – 85%

Andy Hendrick – 7.5%

Joe Johnson – 7.5%

Publisher:

EMI April Music – 42.5%

Uncle Ronnie’s Music Company – 42.5%

Hendricks Music Pubishing  – 7.5%

Jelly Jams LLC – 3.75%

Cartagena Music – 3.75%

Total of 200%

As you can see from the five different Publishing 101 Blogs, Publishing can be very difficult but made simple by taking a few extra minutes to fill out the proper paper work making sure everyone involved in the creation of the songs gets the correct percentages based on there pertisipation on the song.
